2. Eligibility for Refund
- Pre-Service Cancellation: If you cancel a project before any work has commenced, you are entitled to a full refund of any advance payment.
- Incomplete Deliverables: If we are unable to deliver the agreed-upon scope of work due to circumstances within our control, you will receive a prorated refund for the undelivered portion.
- Technical Failures: If the delivered product contains critical defects that we are unable to resolve within a reasonable timeframe (30 business days), a partial or full refund may be issued.
3. Non-Refundable Items
- Work that has been completed and delivered in accordance with the agreed scope.
- Third-party licensing fees, hosting fees, or domain registration costs already incurred.
- Consulting or advisory services that have been rendered.
- Change-of-mind requests after work has commenced beyond the agreed project milestones.
4. Refund Process

We will review your request within 10 business days and respond with a resolution. Approved refunds will be processed within 14 business days to the original payment method.
5. Dispute Resolution
In the event of a dispute regarding refunds, both parties agree to first attempt resolution through good-faith negotiation. If no resolution is reached, either party may seek mediation or arbitration in accordance with applicable Spanish law.
Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by NovexiumTech ("we", "us", "our"), located at Calle Ancha, 16, 11001 Cádiz, España. By engaging our services or accessing our website, you agree to be bound by these Terms.
1. Scope of Services
NovexiumTech provides digital product development, web application engineering, cloud infrastructure setup, AI-powered automation, and related technology consulting services. The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate written agreement or proposal ("Project Agreement").
2. Project Agreements
Each project engagement is governed by its own Project Agreement, which will outline the specific terms including scope, milestones, pricing, payment schedule, and acceptance criteria. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement shall prevail.
3. Payment Terms
- Payment schedules will be specified in each Project Agreement.
- Invoices are due within 14 calendar days of issue unless otherwise specified.
- Late payments may incur a 1.5% monthly interest charge on the outstanding balance.
- We reserve the right to suspend work if payments are overdue by more than 14 days.
4. Intellectual Property
Upon full payment, all intellectual property rights in the deliverables created specifically for you under a Project Agreement will be assigned to you. NovexiumTech retains ownership of pre-existing tools, frameworks, libraries, and methodologies used in the creation of deliverables. We may use anonymised, non-identifiable aspects of completed work for portfolio and marketing purposes unless otherwise agreed.
5. Confidentiality
Both parties agree to keep confidential all proprietary information shared during the course of an engagement. This obligation survives the termination of the engagement for a period of two (2) years.
6. Limitation of Liability
To the maximum extent permitted by applicable law, NovexiumTech's total aggregate liability arising out of or in connection with any engagement shall not exceed the total fees paid by you under the relevant Project Agreement in the twelve (12) months preceding the claim. In no event shall NovexiumTech be liable for any indirect, incidental, special, consequential, or punitive damages.
7. Warranty
We warrant that the deliverables will conform to the specifications defined in the Project Agreement for a period of 30 days following delivery ("Warranty Period"). During this period, we will remedy any defects in the deliverables at no additional cost. This warranty does not cover issues arising from third-party changes, misuse, or modifications made by you or third parties.
8. Termination
- By Client: You may terminate a project with 14 days' written notice. You will be invoiced for all work completed up to the date of termination.
- By NovexiumTech: We may terminate an engagement with 14 days' written notice if payments are overdue, or immediately if there is a material breach of these Terms that remains uncured for 10 days after written notice.
9. Governing Law
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of Spain. The courts of Cádiz, España shall have exclusive jurisdiction over any disputes.
10. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services following any changes constitutes acceptance of the revised Terms.
